By accessing or using Caprica AI's services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

Caprica AI provides a startup funding and development platform designed to help founders build, launch, and fund their businesses. Our Service includes:

• AI agent deployment and management (CTO, Marketing, Sales, CFO, Compliance, Customer Success, and Capital Raising agents)
• Integration capabilities with third-party tools and services
• Workflow automation and orchestration
• Application and project management tools
• Analytics and reporting features

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

As a user of the Service, you agree to:

• Maintain the security of your account credentials and be responsible for all activities under your account

Caprica AI does not warrant that:

• The Service will function uninterrupted, secure, or error-free
• Defects will be corrected
• The Service or the servers that make it available are free of viruses or other harmful components
• The results obtained from using the Service will be accurate or reliable
• AI agents will make correct decisions or provide accurate outputs

You acknowledge that AI agents are sophisticated software systems that may produce unexpected results. You are responsible for reviewing and validating all outputs from our AI agents before taking action based on their recommendations.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CAPRICA AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Decisions made based on AI agent outputs or recommendations

Our total liability to you for any claims arising from or related to the Service shall not exceed the greater of $100 or the amount you paid us in the twelve (12) months preceding the event giving rise to the liability.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

You may terminate your account at any time by contacting us or using the account termination feature in your dashboard. Upon termination, your right to use the Service will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We reserve the right to refuse service to anyone for any reason at any time.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action or other representative action.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
